IF YOU DO NOT AGREE WITH THE TERMS OF THIS DATA LOGGING CONSENT ADDENDUM, YOU SHOULD NOT ENABLE ANY DATA LOGGING WITHIN THE TWILIO VOICE INTELLIGENCE PRODUCT.

This Data Logging Consent Addendum ("Addendum") is effective as of the date you (“Customer”) enable the data logging option within the Twilio Voice Intelligence product offered on Twilio’s platform (“Voice Intelligence Services”). This Addendum is between Customer and the Twilio entity that has entered into the agreement (“Twilio”) covering your use of Twilio’s platform (“Agreement”). In the event of any conflict between the terms of the Agreement, including, without limitation, any data processing terms or terms relating to the processing of personal data, and the terms of the Addendum, the terms of this Addendum will prevail. Any Capitalized term used but not defined in this Addendum will have the meaning provided in the Agreement.

 

1.   Definitions

Training Data” means the data and other information that Customer provides to Twilio for the Permitted Purpose (as defined below) through use of the Twilio Voice Intelligence Services with the data logging option enabled.

Data Output” means the outputs, derivative works, or analyses that result from Twilio’s processing of Training Data under this Addendum, including, without limitation, any machine learning technology models and improvements thereto and improvements made to Twilio’s platform generally. Data Output will be in anonymized, de-identified, and/or aggregated form such that it could no longer directly or indirectly a natural person. 

2. Data Use.  Customer grants Twilio and its affiliates the right to use Training Data solely to develop, improve, and model Twilio’s machine learning technology, such as for speech recognition or natural language understanding, and Twilio’s platform generally ("Permitted Purpose"). Customer is responsible for ensuring that it has, and will continue to have, the right to transfer, or provide access to, Training Data to Twilio for processing in accordance with this Addendum. For the avoidance of doubt, Twilio personnel and/or Twilio’s third party service providers may process Training Data for the Permitted Purposes. To the extent Training Data contains personal data, Twilio will process such personal data as a controller, and not as a processor for, nor a joint controller with, Customer or any user of Customer’s products and services. 

3. Ownership.  As between Customer and Twilio, Twilio will own all Data Output.

4. Revocation of Consent.  Customer may disable data logging for the Voice Intelligence Service at any time via the Voice Intelligence Service’s application programming interface. Customer acknowledges that any Training Data that is logged prior to disabling data logging will continue to be retained by Twilio, subject to the terms of this Addendum, and logging of Training Data will continue where the data logging option remains enabled within the Voice Intelligence Service.

5. Deletion.  Customer may request that Twilio delete Training Data by completing this Training Data deletion request form (“Training Data Deletion Request Form”). Twilio will delete Training Data within thirty (30) days of receipt of the completed Training Data Deletion Request Form. For the avoidance of doubt, Twilio will not delete Data Output when deleting Training Data.  

6. Survival.  The terms of this Addendum will survive the expiration or termination of the Agreement.
