Numbering Requirements for Designated Countries

Any capitalized term used but not defined herein will have the meaning provided in the Disintermediation Amendment to the agreement covering Customer’s use of Twilio’s products and services that require the use of phone numbers.

France

The provision of the Number-Based Communications Services is subject to the laws and regulations that are applicable to the provision of electronic communications services in France from time to time, including, without limitation, the European Electronic Communications Code, the Postal and Electronic Communications Code, and the National Numbering Plan, as modified by ARCEP’s decision No. 2022-1583 of 1 September 2022 (collectively, “France Numbering Requirements”).

Customer (a) will comply with the France Numbering Requirements and (b) is prohibited from sub-assigning, transferring, leasing, renting, and/or selling France phone numbers to End Users that are allocated to Twilio.

Germany

The provision of the Number-Based Communications Services is subject to the laws and regulations that are applicable to the provision of electronic communications services in Germany from time to time, including, without limitation, the European Electronic Communications Code, the Telecommunications Act (Telekommunikationsgesetz) of 23 June 2021, the Telecommunications Numbering Regulation (Telekommunikations-Nummerierungsverordnung) of 5 February 2008, and supplementary numbering plans adopted by the German Federal Network Agency (collectively, “Germany Numbering Requirements”).

Customer (a) will comply with the Germany Numbering Requirements and (b) is prohibited from sub-assigning, transferring, leasing, renting, and/or selling German phone numbers to End Users that are allocated to Twilio.

Iceland

The provision of the Number-Based Communications Services is subject to the laws and regulations that are applicable to the provision of electronic communications services in Iceland from time to time, including, without limitation, the Telecommunications Act No. 70/2022, its implementing regulations, and the rules adopted by ECOI (Electronic Communications Office of Iceland) (collectively, “Iceland Numbering Requirements”).

Customer (a) will comply with Iceland Numbering Requirements and (b) is prohibited from sub-assigning, transferring, leasing, renting, and/or selling Iceland phone numbers to End Users that are allocated to Twilio.

Ireland

The provision of the Number-Based Communications Services is subject to the laws and regulations that are applicable to the provision of electronic communications services in Ireland from time to time, including, without limitation, the European Electronic Communication Code and S.I. No. 444 of 2022 the European Union (Electronic Communications Code) Regulations 2022, the Communications Regulation Acts 2002-2023, the Communications Regulation and Digital Hub Development Agency (Amendment) Act, and the publications of the Commission for Communications Regulation (“ComReg”) on Numbering Conditions of Use and Application Process (collectively, “Ireland Numbering Requirements”).

Customer (a) will comply with Ireland Numbering Requirements and (b) is prohibited from sub-assigning, transferring, leasing, renting, and/or selling Ireland phone numbers to End Users that are allocated to Twilio.

The sub-assignment of Ireland phone numbers directly allocated to Twilio by ComReg is subject to (a) prior notification to and consent of ComReg; (b) Customer reasonably cooperating with Twilio, including, without limitation, completing and executing any forms provided by Twilio and required by ComReg in connection with any sub-assignment of Ireland phone numbers; and (c) Customer and Twilio entering into a wholesale agreement, if applicable.

Italy

The provision of the Number-Based Communications Services is subject to the laws and regulations that are applicable to the provision of electronic communications services in Italy from time to time, including, without limitation, the European Electronic Communication Code, the Electronic Communications Code (Legislative Decree 259/2003 of 1 August 2003, as amended), and the resolutions of the Italian Communications Regulatory Authority (“AGCOM”), in particular, the AGCOM Resolution 8/15/CIR of 20 February 2015 defining the National Numbering Plan (collectively, “Italy Numbering Requirements”).

Customer (a) will comply with Italy Numbering Requirements and (b) is prohibited from sub-assigning, transferring, leasing, renting, and/or selling Italy phone numbers to End Users that are allocated to Twilio.

Spain

The provision of the Number-Based Communications Services is subject to the laws and regulations that are applicable to the provision of electronic communications services in Spain from time to time, including, without limitation, the European Electronic Communication Code, the General Telecommunications Act 11/2022 of 28 June 2022, and the National Numbering Plan approved by Royal Decree 2296/2004 of 10 December 2004 and its implementing regulations (collectively, “Spain Numbering Requirements”).

Customer (a) will comply with the Spain Numbering Requirements and (b) is prohibited from sub-assigning, transferring, leasing, renting, and/or selling Spain phone numbers to End Users that are allocated to Twilio.

The sub-assignment of Spain phone numbers directly allocated to Twilio by the Comisión Nacional de los Mercados y la Competencia (“CNMC”) is subject to the following conditions:

1.     Customer must be an appropriately authorised operator duly registered in CNMC’s Register of Operators; 

2.     Customer reasonably cooperating with Twilio, including, without limitation, completing and executing any forms provided by Twilio and required by CNMC in connection with any sub-assignment of Spain phone numbers; and

3.     Customer and Twilio entering into a wholesale agreement, if applicable.
