EU Data Act Rights

These EU Data Act Rights requirements (“EUDA Requirements”) only apply to Customer if Customer is domiciled or registered in a member state of the European Economic Area (EEA). These EUDA Requirements supplement the terms of the agreement between Customer and Twilio covering Customer’s use of the Services (“Agreement”). Twilio may update the terms of these EUDA Requirements from time to time and will provide Customer with reasonable prior written notice of any material updates. Any capitalized term that is used but not defined in these EUDA Requirements will have the meaning provided in the EU Data Act (Regulation (EU) 2023/2854 of the European Parliament). 

IF YOU DO NOT AGREE WITH THE TERMS OF THESE EUDA REQUIREMENTS, YOU SHOULD NOT USE THE SERVICES.

1. Switching.  Customer may, at any time, exercise its right to switch from using certain Services, as set forth at https://www.twilio.com/en-us/legal/privacy/eu-data-act, to another cloud services provider or to its own on-premise Information and Communication Technology (ICT) infrastructure. In the event Customer exercises the foregoing right to switch, Customer must:

(a) provide Twilio with two (2) months’ prior written notice (“Notice Period”);

(b) pay all fees incurred during the Notice Period, including any fees during the Notice Period that are charged on a recurring basis and any applicable minimum spend commitments, as set forth (i) in an executed order form between Customer and Twilio or (ii) via an online order that Customer placed within Customer’s account through a self-service purchasing workflow (collectively, “Order”); and

(c) immediately pay Twilio the Termination Fee (as defined below) in full at the conclusion of the Notice Period. “Termination Fee” means the fee equal to the total of any minimum spend commitment (including any fees that are charged on a recurring basis) for the remainder of the then-current commitment period that Customer agreed to in or otherwise accepted via an Order.

2. No Refunds. Customer acknowledges and agrees that it is not entitled to any refund of fees previously paid to Twilio.

3. Notice Period Extension.  Customer may request in writing to extend the Notice Period at any time before the conclusion of the Notice Period, which Twilio may approve in its sole discretion.

4. Termination.  The applicable Order is considered terminated upon the conclusion of the Notice Period.

5. Notice of Data Access and Portability.  Information regarding Customer’s rights related to data access, access to reasonable assistance, and the minimum data retrieval period is available at https://www.twilio.com/en-us/legal/privacy/eu-data-act.
