Twilio Ola Beta Terms

By using, installing, or accessing the Twilio Ola Web-application (“Ola”), or clicking to accept the terms set forth in these Twilio Ola Beta Terms (“Ola Terms”), you agree to be bound by these Ola Terms. For purposes of these Ola Terms, any references to “you” or “your” refer to you as a user of Ola, and any references to “Twilio” refer to Twilio Inc. and its affiliates.
THESE OLA TERMS GOVERN YOUR USE OF OLA AS AN INDIVIDUAL. OLA IS NOT AVAILABLE FOR COMMERCIAL OR BUSINESS USE. YOU MUST BE AT LEAST 18 YEARS OF AGE, OR THE MINIMUM AGE REQUIRED TO CONSENT TO USE OF OLA IN YOUR LOCATION, WHICHEVER IS HIGHER. ANY USE OF OLA IS RESTRICTED ONLY TO THE UNITED STATES OF AMERICA AT THIS TIME. IF YOU ARE LOCATED OUTSIDE OF THE UNITED STATES OF AMERICA, DO NOT USE OLA.
OLA IS CURRENTLY IN THE BETA PHASE OF TESTING AND IS NOT CONSIDERED A GENERALLY AVAILABLE PRODUCT. PLEASE REVIEW SECTION 5 (DISCLAIMER) OF THESE OLA TERMS FOR MORE INFORMATION. IF YOU DO NOT AGREE TO ASSUME THE RISKS OUTLINED IN SECTION 5 (DISCLAIMER), DO NOT USE OLA.
1. Use of Ola. You will use Ola in accordance with these Ola Terms, applicable law or regulation, the Twilio Acceptable Use Policy, and documentation available at https://www.olachat.com. You are prohibited from using Ola for the purposes of controlling an artificial intelligence or machine learning agent (“AI Agent”) to perform (a) any operation (i) of nuclear facilities, air traffic control, life support systems, or clinical purposes; (ii) that is overseen by, or requires clearance or approval from, a regulatory authority; (iii) that could lead to death, personal injury, or environmental damage; (iv) that constitutes automated decision-making to make a legal, significant, consequential, or similar high risk decision regarding an individual, a group, or subjects of the decision; or (v) that constitutes prohibited use, high risk, or unacceptable risk relating to the use of Ola under applicable law or regulation or (b) any actions that involve the buying or selling of securities.
2. Feedback. As a condition using Ola, you agree to provide active and constructive feedback regarding your experience using Ola. You agree to use the designated feedback channels communicated by Twilio, including in-application survey responses and interviews to report any bugs, errors, or performance or technical issues you encounter, improvements, suggestions for enhancements or new functionality, ideas, and general usability assessments (collectively, “Feedback”). Your failure to provide regular Feedback may result in revocation of your access to Ola. You understand that you will not receive any royalty, financial compensation, or ownership stake in exchange for your Feedback, regardless of whether Twilio implements your Feedback.
3. Ownership and Licenses. Twilio exclusively owns all right, title, and interest in and to Ola. Subject to your compliance with these Ola Terms, Twilio grants you a limited, non-exclusive, non-transferable license to use Ola, and install and use the optional plug-in and command line interface for Ola. Twilio exclusively owns all right, title, and interest in and to any Feedback.
4. Data Privacy and Acknowledgement of Use
(a) Data Processing. You agree that Twilio will process any data, including your personal information, collected, transmitted, stored, or otherwise processed in connection with your use of Ola (i) in accordance with these Ola Terms and the Twilio Privacy Notice; (ii) as necessary to make available and improve the performance, functionality, safety, and security of Ola, which includes, without limitation, development and model training to detect, investigate, and prevent security incidents, network exploits and abuse, and violations of these Ola Terms; (iii) as necessary to comply with applicable law or regulation; (iv) to improve, train, or further develop Twilio products and features; and (v) to anonymize, de-identify, or aggregate any of your data such that it does not identify you or any person.
(b) Sensitive Data. You are prohibited from sharing any sensitive data (as defined under applicable law or regulation), including, without limitation, (i) social security number, passport number, driver’s license number, or similar identifier (or any portion thereof) or (ii) credit or debit card number (other than the truncated (i.e., last four digits) of a credit or debit card number), financial information, banking account numbers, or passwords.
5. DISCLAIMER. YOU UNDERSTAND THAT OLA IS IN THE BETA PHASE OF TESTING AND NOT CONSIDERED A GENERALLY AVAILABLE OFFERING. YOUR USE AND THE AVAILABILITY OF OLA MAY BE INTERRUPTED, INCLUDING FOR MAINTENANCE, FOR UPGRADES, OR DUE TO NETWORK OR EQUIPMENT FAILURES. TWILIO MAY (A) DISCONTINUE OLA, ANY OF ITS FEATURES, AND/OR SUPPORT FOR OLA, INCLUDING ITS USE ON CERTAIN DEVICES AND PLATFORMS, AT ANY TIME, OR (B) DECIDE NOT TO MAKE OLA A GENERALLY AVAILABLE OFFERING. YOUR USE OF OLA IS STRICTLY FOR TESTING AND EXPERIMENTATION PURPOSES ONLY.
YOU ACKNOWLEDGE THAT, BY ITS NATURE, OLA, AS A NON-GENERALLY AVAILABLE OFFERING, MAY (I) NOT MEET SPEED OR PERFORMANCE BENCHMARKS OR EXPECTATIONS; (II) HAVE GAPS IN FUNCTIONALITY; AND (III) CONTAIN BUGS. YOU UNDERSTAND AND AGREE THAT ANY NOTIFICATIONS PROVIDED TO YOU THROUGH OLA MAY BE DELAYED OR PREVENTED BY A VARIETY OF FACTORS. TWILIO MAY MAKE COMMERCIALLY REASONABLE EFFORTS TO PROVIDE NOTIFICATIONS IN A TIMELY MANNER WITH ACCURATE INFORMATION, BUT CANNOT GUARANTEE THE DELIVERY, TIMELINESS, OR ACCURACY OF THE CONTENT OF ANY NOTIFICATION. YOU FURTHER ACKNOWLEDGE THAT OLA WORKS IN CONJUNCTION WITH YOUR AI AGENTS, WHICH ARE CONSIDERED EMERGING TECHNOLOGY THAT MAY BE INACCURATE, POSES A THREAT TO PUBLIC SAFETY, OR IS NOT DESIGNED OR INTENDED TO MEET YOUR NEEDS, EXPECTATIONS, OR LEGAL, REGULATORY, OR COMPLIANCE OBLIGATIONS.
OLA IS PROVIDED “AS IS,” AND TWILIO MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, AND TWILIO SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.
YOU UNDERSTAND THAT ARTIFICIAL INTELLIGENCE AND LARGE LANGUAGE MODELS ARE STILL IMPROVING IN ACCURACY, RELIABILITY AND SAFETY. WHEN YOU USE OLA IN CONJUNCTION WITH YOUR AI AGENT(S), YOU ACKNOWLEDGE AND AGREE THAT ACTIONS MAY NOT BE ERROR FREE OR OPERATE AS INTENDED. YOU FURTHER AGREE THAT YOU ARE RESPONSIBLE FOR YOUR AI AGENTS AND FOR ALL AI AGENT-INITIATED ACTIONS AS IF YOU HAD TAKEN THESE ACTIONS YOURSELF, EVEN IF YOU DID NOT AUTHORIZE OR REVIEW THE ACTION, THOSE ACTIONS EXCEED AN AI AGENT’S AUTHORITY, OR WERE CAUSED BY BUGS, HALLUCINATIONS AND/OR MISINTERPRETATIONS.
6. Indemnification. You will defend Twilio and Twilio’s officers, directors, and employees (collectively, “Twilio Indemnified Parties”) from and against any claim, demand, suit, or proceeding made or brought against a Twilio Indemnified Party by a third party alleging or arising out of your use of Ola (“Claim”). You will indemnify Twilio from any damages, fines or penalties imposed by a government or regulatory body, attorneys’ fees, and costs awarded against a Twilio Indemnified Party or for settlement amounts approved by you for a Claim.
Twilio reserves the right, at its own expense, to participate in the defense of any Claim. You will not do the following without Twilio’s prior written consent: (a) settle any Claims for which you have an obligation to indemnify pursuant to this Section 6 or (b) admit to liability or fault or create any obligation on behalf of Twilio as part of a settlement of a Claim.
7. Limitation of Liability. NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THESE OLA TERMS, TWILIO HAS NO LIABILITY TO YOU OR ANY THIRD PARTY ARISING OUT OF THESE OLA TERMS OR OTHERWISE IN CONNECTION WITH OLA. YOU ACKNOWLEDGE AND AGREE THAT THE ESSENTIAL PURPOSE OF THIS SECTION 7 IS TO ALLOCATE THE RISKS UNDER THESE OLA TERMS BETWEEN THE PARTIES, AND TWILIO HAS RELIED ON THESE LIMITATIONS IN DETERMINING WHETHER TO PROVIDE YOU THE RIGHTS TO ACCESS AND USE OLA.
8. Term and Termination
(a) Term. These Ola Terms will commence on the date you begin using, installing, or accessing Ola, or click to accept these Ola Terms, and will continue until terminated in accordance with this Section 8.
(b) Termination for Convenience. You may terminate these Ola Terms at any time, for any reason or no reason, by immediately ceasing your use of Ola. If you commence using Ola again, you are consenting to, and will comply with, these Ola Terms. Twilio may terminate these Ola Terms at any time, for any reason or no reason, upon providing written notice to you.
(c) Termination for Cause. Twilio may, in its sole discretion, terminate these Ola Terms immediately (i) if Twilio suspects you are in breach of these Ola Terms; (ii) if Twilio determines that you are engaged in activity that is suspected or actually fraudulent, illegal, or otherwise malicious or fails to comply with applicable law or regulation; (iii) if Twilio determines your use of Ola causes a significant risk of reputational harm to Twilio; or (iv) to prevent harm to the security, stability, availability, or integrity of Ola.
(d) Survival. The following sections, in addition to this Section 8(d), will survive any termination of these Ola Terms: Section 3 (Ownership and Licenses), Section 4(a) (Data Processing), Section 5 (Disclaimer), Section 6 (Indemnification), Section 7 (Limitation of Liability), Section 9 (Twilio Confidential Information), Section 11 (Governing Law), and Section 12 (Notices).
9. Twilio Confidential Information. While using Ola, you may gain access to certain information that is confidential and proprietary to Twilio. This includes but is not limited to: (a) unreleased software, designs, or functionalities provided for testing; (b) proprietary algorithms, technical documentation, and application programming interface structures; (c) direct correspondence from Twilio personnel marked as “private” or “confidential” or any information or data that should otherwise be reasonably understood to be confidential given the nature of the information and the circumstances surrounding the disclosure (collectively “Twilio Confidential Information”) You agree to treat all Twilio Confidential Information as strictly confidential. You also agree not to share, publish, or leak screenshots, screen recordings, or descriptions of unreleased features to social media, public forums, or third parties. You may use Twilio Confidential Information solely for the purpose of using Ola in accordance with these Ola Terms.
10. Modification. Twilio may update these Ola Terms from time to time. Twilio will provide you with written notice of any material updates at least thirty (30) days prior to the date the updated version becomes effective, unless such material updates result from changes in applicable law or regulation. All notices to you will be provided in accordance with Section 12 (Notices) of these Ola Terms. Following such notice, your continued use of Ola on or after the date the updated version of these Ola Terms becomes effective constitutes your automatic acceptance of the updated version of these Ola Terms. The updated version of these Ola Terms supersedes all prior versions. If you do not agree to the updated version of these Ola Terms, you must stop using Ola.
11. Governing Law. These Ola Terms will be governed by and interpreted in accordance with the laws of the State of California without regards to conflicts of laws and principles that would cause the application of the laws of another jurisdiction. Any legal suit, action, or proceeding arising out of or relating to these Ola Terms or your use of Ola will be instituted in the State or federal courts of San Francisco, California, and the parties hereby consent to the personal jurisdiction of these courts. In the event of any adjudication of any dispute under these Ola Terms, the prevailing party in such legal suit, action or proceeding will be entitled to reimbursement of its attorney's fees and related costs by the non-prevailing party.
12. Notices. All notices to you will be provided via email to the email you provided at the time you signed up for the Ola participant waitlist and may include notices relating, but not limited to, the following: (a) confirmation that you are signed up for the waitlist, (b) your invitation to install or access Ola; and (c) to gather your feedback in connection with your use of Ola. Formal legal notices in connection with these Ola Terms or your use of Ola will be provided via email to legalnotices@twilio.com.
